WHOLE BUILDING LEASE <br />File No. M 50049 <br />THIS LEASE is made in quadruplicate as of the 18th day of September, 2001. <br />BETWEEN: <br />HER MAJESTY THE QUEEN in right of <br />Ontario as represented by the Chair <br />of the Management Board of Cabinet <br />AND: <br />hereinafter called the "Landlord" <br />The Corporation of the County of Essex <br />hereinafter called the "Tenant" <br />Pursuant to a License Agreement No 50049 dated January 1, 2001 Her Majesty The Queen in right <br />of Ontario as represented by the Chair of the Management Board of Cabinet, as Licensor, permitted <br />The Corporation of the County of Essex, as Licensee, to occupy the building at 285 McDougal <br />Street, Windsor for a term of three (3) months from January 1, 2001 to March 31, 2001. <br />AND WHEREAS under the said Agreement the Licensee continued to occupy the premises and the <br />parties agreed to change the tenancy from a License to a Lease effective April 1, 2001 under the <br />following terms and conditions: <br />ARTICLE I - LEASE SUMMARY <br />1.01 Lease Summary <br />The following is a summary of some of the basic terms of this Lease, which are elaborated <br />upon in the balance of this Lease. <br />(a) Premises: the entire Building and the Lands, and including all Improvements. <br />(b) Rentable Area of the Premises: approximately 1529 square feet, to be confirmed, at <br />the option of the Landlord, by an Architect's certificate provided in accordance with <br />Section 4.02 hereof. <br />(c) Building: having the municipal address of 285 McDougal Street, Windsor, Ontario <br />as per Schedule "A" attached hereto. <br />(d) Term: The Term is for Two (2) years. <br />(e) Commencement Date: The Commencement Date is April 1, 2001. <br />(f) Expiry Date: The Expiry Date is March 31, 2003. <br />(g) Rent: Annual Rent of Seventeen Thousand, Six Hundred and Seventy Five Dollars <br />and Twenty Eight ($17,675.28) ( the "Annual Rent "), payable in advance in equal <br />monthly instalments of One Thousand, Four Hundred and Seventy Two Dollars <br />and Ninety Four Cents ( $1,472.94), plus GST and is based on an annual rental charge <br />of Eleven Dollars and Fifty Six Cents ($11.56) for each square foot of the Rentable <br />area of the Premises, and comprises of $7.00 as Net Rent, $3.82 as Pils (Payment In- <br />Lieu of Taxes) and $0.74 as Management Fee. Pils and Management Fee represent <br />costs for the year 2001 and are subject to adjustment. <br />(h) Use of the Premises permitted by this Lease: The operation of a land ambulance base <br />and uses ancillary thereto. <br />(i) Renewal Option: One (1) term of Two (2) years, exercisable upon six (6) months' <br />written notice to the Landlord. <br />-1- <br />
