MUNICIPAL ACCBSS AGREEMBNT <br />This Municipal Access Agreement shall be effective as of the -o?O!¿uy of <br />(the "Effective Date"). <br />2016 <br />BETV/EEN <br />THE CORPORATION OF THE COUNTY OF ESSEX <br />(the "Municipality") <br />-and- <br />LUXLINE NETWORK CORPORATION <br />(the "Company") <br />(each, a"Party" and, collectively, the "Parties") <br />RECITALS <br />WHEREAS the Company is a "telecommunications coÍtmon carrier" as defined in the <br />Telecommunications Act, S.C. 1993, c.38 ("Telecom Act") (a "Carrier") and is subject to the <br />jurisdiction of the Canadian Radio-television and Telecommunications Commission (the <br />..CRTC"); <br />AND WHEREAS in order to operate as a Carrier, the Company requires to construct, <br />maintain and operate its Equipment in, on, over, under, across or along ("Within") the highways, <br />streets, road allowances, lanes, bridges or viaducts which are under the jurisdiction of the <br />Municipality (collectively, "Rights-of-1Vay" or "ROWs") or other public places as agreed to by <br />the Parties; <br />AND WHEREAS pursuant to the Telecom Act,the Company requires the Municipality's <br />consent to construct its Equipment Within the ROWs and the Municipality is willing to grant the <br />Page 1
