THIS AGREEMENT is made with effect as of the 29~ day of March, 1999 (the "Effective Date") BETWEEN: HER MAJESTY THE QUEEN IN RIGHT OF ONTARIO as represented by THE MINISTER OF HEALTH FOR ONTARIO (the "Minister") Corporation of the County of Essex - Home for the Aged - Sun Parlor (the "Recipient") BACKGROUND A. The Recipient wishes to receive from the Minister the specific funding contemplated by this Agreement (the "Funding") and to apply such Funding exclusively towards the project scope of ascertaining and resolving certain implications to the Recipient of the Year 2000 date change (the "Year 2000 Problem"), as more particularly described in Schedule "A" (the "Project"). B. The Minister and the Recipient wish to enter into this Agreement to set out the terms and conditions pursuant to which the Minister will provide such Funding to the Recipient including: (i) Confirmation that the Recipient, and not the Minister, is responsible for resolving the Year 2000 Problem; (ii) Confirmation that the Funding is subject to the appropriate and timely application by the Recipient of the Funding to the Year 2000 Problem; and (iii) Confirmation that the Minister may impose reporting and other additional conditions from time to time in respect of the Funding. NOW THEREFORE, in consideration of the background, and the respective covenants and agreements of the Parties set out below, the Parties agree as follows: ., 1. Nature of the Relationship. It is critical to both Parties that the nature and scope of this Xgreement be clear. The Recipient acknowledges and agrees that it is the sole responsibility of the Recipient to determine the extent of, and otherwise resolve, its Year 2000 Problem. The Minister's sole obligation under this Agreement is to provide the Recipient with the Funding on the terms as set out in this Agreement. Consistent with this acknowledgement, the Parties agree as follows:
