~OPTION II T~IS AGREEMENT, made this l~t day of Febzuary , 19 80, by and between The CORPORATION OF THE COUNTY OF F~SEX, (th~ "Client") and VERSASERVICES DIVISION OF VS SERVICES LTD., ("Versa") a Canada Corporation having its principal place of business at 95 Brockhouse Road, Toronto, Ontario, M8W 2W9. WITNESSETH that: 1. GRANT TO VERSA: Client hereby gran~a to Versa the exclusiv~ right to provide housekeeping and laundry services at its premises located at 175 Talbot Street, East, Leamington, Ontario. 2. FACILITIES AND EQUIPMENT: Client agrees at its expense to provide Versa with suitable office space and office equipment, telephone and communications devices, all supplies, chemicals and tools, secure storage areas for supplies and equipment, all required utilities and such housekeeping and laundry equipment as exists for the efficient performance of this Agreement. Client shall promptly make all equipment repairs and replacements, and shall be responsible for compliance with all Federal, Provincial and local health and/or safety regulations with respect to such equipment. 3. VERSA AGREES: A. PERSONNEL: At all times to maintain a housekeeping and laundry manager on dutv at Client's premises for efficient operations thereat, and to provide expert administrative, technical, purchasing, equipment consulting ~nd personnel advice and supervision. Versa agrees that no supervisory employees of Client will be hired by Versa without specific written permission of Client for the period of this Agreement and six (6) months thereafter. Client agreea that without specific written permission of Versa, former supervisory employees of Versa will neither be hired by Client for the period of this Agreement and six (6) months thereafter, nor will Client permit former supervisory employees of Versa to be employed in Client's facilities for a period of six (6) months subsequent to the termination of this Agreement (unless such employees were formerly employees of Client). For the purpose of this paragraph, "former supervisory employees" shall mean those persons employed by Versa who have directly or indirectly performed services for Client's facilities for at least six (6) weeks and who performed any portion of such services during the six (6) month period irm~ediately prior to the termination of thia Agreement.
