THE CORPORATION OF THE COUNTY OF ESSEX BY -LAW ## 51 -2007 A BY -LAW TO AUTHORIZE THE EXECUTION OF A STANDBY GENERATOR OPERATION AND MAINTENANCE AGREEMENT BETWEEN THE CORPORATION OF THE COUNTY OF ESSEX AND GENSET RESOURCE MANAGEMENT INC. WHEREAS the Council of the Corporation of the County of Essex deems it expedient to acquire Embedded Distributed EIectrical Generation Systems for the Sun Parlor Home and Essex County Civic Centre; AND WHEREAS an Embedded Distributed Electrical Generation System will provide backup power to allow continued operation of the Sun Parlor Home and Essex County Civic Centre, in the event of a power outage, as well as generate and send surplus electrical power back into the power grid; AND WHEREAS the Council of the Corporation of the County of Essex has unanimously approved the acquisition of Embedded Distributed Electrical Generation Systems from GenSet Resource Management Inc.; AND WHEREAS the Council of the Corporation of the County of Essex deems it expedient to enter into a five (5) year agreement with GenSet Resource Management Inc. for the operation and maintenance of the Embedded Distributed Electrical Generation Systems; NOW THEREFORE the Council of The Corporation of the County of Essex enacts as follows: l . THAT the acquisition of Embedded Distributed Electrical Generation Systems for the Sun Parlor Home and Essex County Civic Centre from GenSet Resource Management Inc. is hereby ratified, approved and confirmed. 2. THAT the Warden and CIerk be and they are hereby authorized to execute a Standby Generator Operation and Maintenance Agreement between The Corporation of the County of Essex and GenSet Resource Management Inc., a copy of which is attached hereto, and affix the Corporate Seal thereto. 3. This By -law shall come into force and take effect on the date of passing.
