RL L I T,L`�T 1 0 1 <br />SERVICE AGREEMENT <br />Between: <br />The Corporation of the County of Essex <br />(Sun Parlor Home for Senior Citizens) <br />(hereinafter referred to as the "Centre ") <br />-and- <br />.. _ _... _.. <br />Columbia Life Rehabilitation Inc. <br />(hereinafter referred to as the "Service Provider ") <br />WHEREAS the Centre is desirous of obtaining PHYSIOTHERAPY services for the residents <br />of the said Centre, <br />AND WHEREAS the Service Provider, a duly licensed physiotherapy service in the Province of <br />Ontario, is desirous of providing required services to the residents of the Centre, and has agreed <br />to provide such services as hereinafter set out; <br />NOW THEREFORE, this agreement witnesses that the parties hereto agree as follows: <br />The Service Provider shall, according to the best of its skills and knowledge, provide to <br />the residents of the Centre such physiotherapy services as the Centre may reasonably <br />require, at all times during the term of this Agreement. <br />2. The term of this Agreement shall commence on the I" day of April, 2004, and shall <br />continue for a period of one(1) year until the 3 0 day of March, 2005. Thereafter, this <br />Agreement shall be renewed automatically for a further term of one (1) year unless notice <br />is given within thirty (30) days of the end of the initial term or of any renewal term <br />thereafter. <br />3. Notwithstanding Section two (2) hereof, the Centre shall be entitled to terminate this <br />Agreement at any time, without notice to the Service Provider, for just cause. For the <br />purposes of this Agreement, "just cause" shall mean a failure of the Service Provider to <br />observe and perform its obligations hereunder, or the Service Provider performing its <br />services in a manner detrimental to the operation of the Centre or to the health and <br />welfare of its residents. <br />
