SERVICE AGREEMENT I <br />This Service Agreement made as of the 15 day of January, 2004. <br />BETWEEN: <br />Her Majesty the Queen in right of Ontario, <br />as represented by the Minister of Health and Long -Term Care <br />(the "MOHLTC ") <br />-and- <br />Sun Parlor Home for Senior Citizens - Corp. of the County of Essex <br />(the "Operator ") <br />IN CONSIDERATION of the mutual covenants, promises and agreements contained in this <br />Agreement, and other good and valuable consideration, the receipt and sufficiency of which are <br />hereby acknowledged, the Parties to this Agreement agree as follows: <br />1.0 INTERPRETATION <br />1.1 Definitions <br />In this Agreement, the following terms shall have the meanings set out below unless the <br />context requires otherwise: <br />"Act" has the meaning set forth in Schedule "A ". <br />"Agreement" means this Agreement, including the Schedule(s) to this Agreement and the <br />Subsidy Calculation Worksheet as it or they may be amended or supplemented from time to <br />time. <br />"Annual Report" means the annual report set forth in section 6.2. <br />"Applicable Law" means, with respect to any Person, property, transaction, event or other <br />matter, any law, rule, statute, regulation, order, judgment, decree, treaty or other requirement <br />having the force of law (collectively, the "Law ") relating or applicable to such Person, property, <br />transaction, event or other matter.
