OFFER TO PURCHASE <br />Agreement of Purchase And Sale <br />(as Purchaser) <br />having inspected the property, hereby agrees with <br />(as Vendor) <br />to purchase All and Singular the premises on the east side of Mercer Street <br />920 Mercer Street, Windsor, Ontario <br />known as <br />having a frontage of 196 feet more or less by a depth of 162.5 feet <br />more or less (0.73 acres), and is legally described as: <br />Lot 132 Part of Lot 131 and part of closed Huron Street <br />Registered Plan 122 City of Windsor. County of Essex <br />registered in the Land Registry Office for the Land Titles Division of Essex (No 12) (herein called the <br />"real property ") at the price of: <br />Six Hundred and Ten Thousand Dollars --- _____ _________00 ($610.000.00) <br />of Lawful money of Canada payable Cash/cheque as follows: <br />O Dollar ($1.00) <br />to the Vendor on this date as a deposit to be held in trust pending completion or other termination of <br />this Agreement and to be credited on account of the purchase price on closing, and agree to: <br />1. Pay the balance due on closing by cash or certified cheque subject to the usual adjustments. <br />2. The Purchaser acknowledges that the Vendor has already taken steps to arrange for a new roof <br />to be installed on the building located on the real property. The Vendor shall undertake and <br />agree to proceed with the replacement of the roof, which the Purchaser acknowledges may not <br />be completed before closing. Once the new roof has been installed on the subject building to <br />the satisfaction of the Purchaser, the Purchaser hereby agrees to reimburse the Vendor for the <br />costs (net of the GST Rebate) incurred by the Vendor for the installation of the said new roof, <br />which costs shall not exceed the total sum of $163,291.63, including all taxes. <br />3. The Vendor acknowledges that it is the intention of the Purchaser to use the real property as a <br />land ambulance base station, and as the operational headquarters of the Essex - Windsor <br />Emergency Medical Services System. This Offer by the Purchaser is therefore conditional <br />upon the Vendor, at its expense, taking any and all steps necessary to rezone the real property <br />so as to allow the said uses to occur legally on the real property. <br />4. This Offer is conditional on the Vendor providing the Purchaser with an Environmental <br />Assessment report satisfactory to the Purchaser, so as to ensure the real property does not have <br />any adverse environmental situations that will have a possible impact on the intended use of the <br />real property by the Purchaser. In the event that a satisfactory report is not received by the <br />Purchaser, this Offer shall be at an end. This condition is for the sole benefit of the Purchaser, <br />and may be waived at its sole option. <br />5. The Vendor agrees to allow the Purchaser to take possession of the real property before <br />closing, which possession may occur, at the option of the Purchaser, on or after the first day <br />after which this Offer has been accepted by the Vendor. The Vendor further acknowledges and <br />agrees that the Purchaser shall not be required to pay any occupancy rent for possession of the <br />real property prior to closing. The Purchaser agrees not to begin construction of any <br />renovations to the building on the real property until such time as the closing of this <br />transaction has been completed. <br />
