BETWEEN: THIS AG~MENT made in triplicate this 1989. day of THE CORPORATION OF THE COUNTY OF ESSEX, hereinafter called the CORPORATION OF THE FIRST PART; - AND - WASTE .MANAGEMENT OF CANADA INC. hereinafter called the CONTRACTOR OF THE SECOND PART; WHEREAS the tender submitted by the Contractor to supply and service disposal containers at the Corporation's Landfill Site #3 in the Township of Maidstone was accepted subject to the execution of this Agreement between the parties. NOW THEREFORE THIS AGREEMENT WITNESSETH that in consideration of the premises and the covenants hereinafter contained, the Parties hereto agree as follows: 1. The Contractor hereby covenants and agrees to provide and supply at his own expense, all and every kind of labour, machinery, equipment and materials required to supply and service disposal containers in accordance with the terms of this Agreement and as more specifically defined in the tender documents submitted by the Contracto~ and accepted by the Corporation all of which are attached hereto and a part of this Agreement. 2. This Agreement shall be in full force and effective commencing the 1st day of August , 1989 . 3. Payment to the Contractor for the work performed pursuant to the terms of this Agreement and the said tender documents shall be l~ accordance with the schedule set forth on Pase 4 of the Form of Tender of the tender documents as attached hereto and shall be submitted to the Contractor on a monthly basis in accordance with invoiced billings submitted to the Corporation by the Contractor. 4. The Contractor covenants and agrees to perform and comply with all terms of the general conditions to supply and service disposal containers as contained in the tender documents as attached hereto and shall form a part of this Agreement to the same extent as if they were fully embodied herein.
