July , A.D. <br />BETWEEN: <br /> <br /> THIS AG~MENT made in triplicate this <br />1989. <br /> <br />day of <br /> <br />THE CORPORATION OF THE COUNTY OF ESSEX, <br />hereinafter called the CORPORATION OF THE FIRST PART; <br /> <br />- AND - <br /> <br />WASTE .MANAGEMENT OF CANADA INC. <br />hereinafter called the CONTRACTOR OF THE SECOND PART; <br /> <br /> WHEREAS the tender submitted by the Contractor to supply <br />and service disposal containers at the Corporation's Landfill Site #3 in <br />the Township of Maidstone was accepted subject to the execution of this <br />Agreement between the parties. <br /> <br /> NOW THEREFORE THIS AGREEMENT WITNESSETH that in <br />consideration of the premises and the covenants hereinafter contained, <br />the Parties hereto agree as follows: <br /> <br />1. The Contractor hereby covenants and agrees to provide and <br />supply at his own expense, all and every kind of labour, machinery, <br />equipment and materials required to supply and service disposal <br />containers in accordance with the terms of this Agreement and as more <br />specifically defined in the tender documents submitted by the Contracto~ <br />and accepted by the Corporation all of which are attached hereto and <br />a part of this Agreement. <br /> <br />2. This Agreement shall be in full force and effective <br />commencing the 1st day of August , 1989 . <br /> <br />3. Payment to the Contractor for the work performed pursuant <br />to the terms of this Agreement and the said tender documents shall be l~ <br />accordance with the schedule set forth on Pase 4 of the Form of Tender <br />of the tender documents as attached hereto and shall be submitted to the <br />Contractor on a monthly basis in accordance with invoiced billings <br />submitted to the Corporation by the Contractor. <br /> <br />4. The Contractor covenants and agrees to perform and comply <br />with all terms of the general conditions to supply and service disposal <br />containers as contained in the tender documents as attached hereto and <br />shall form a part of this Agreement to the same extent as if they were <br />fully embodied herein. <br /> <br /> <br />
