THIS LEASE made in duplicate this 18th day of December, <br />in the year of our Lord One Thousand, Nine Hundred and <br />Eighty-Five. <br /> <br />BETWEEN: <br /> <br />THE CORPORATION OF THE COUNTY OF ESSEX <br /> <br />360 Fairview Avenue West <br />Essex, Ontario <br />N8M 1Y6 <br /> <br />Hereinafter called the "LESSOR" of the First Part <br /> <br />AND <br /> <br />THE ESSEX REGION CONSERVATION AUTHORITY <br /> <br />360 Fairview Avenue West <br />Essex, Ontario <br />N8M 1Y6 <br /> <br />Hereinafter called the "LESSEE" of the Second Part <br /> <br />1. Demise <br /> WITNESSETH that subject to the convenants and powers <br />implied in the applicable provincial laws and in consideration of <br />the rents, convenants and agreements hereinafter reserved and <br />contained on the part of the Lessee, the Lessor does demise and <br />lease unto the Lessee, the following premises: <br /> <br />Part of the Second Floor <br />Essex County Civic and Education Centre <br />360 Fairview Avenue West <br />Essex, Ontario <br />N8M 1Y6 <br /> <br />More particularly described in Schedule "A" attached hereto, <br />hereinafter called the "Premises". <br /> <br /> TO HAVE AND TO HOLD the Premises for a term of five <br />years, commencing on the 1st day of April, 1985, and <br />thenceforth next ensuing and fully to be completed on the <br />31st day of March, 1990. The said lease will be subject to <br />renewal as set out in Schedule "B" attached hereto. <br /> <br />Rent <br /> YIELDING AND PAYING therefor unto the Lessor for the <br />term hereby created: <br /> <br />1. the annual rent of $2,500; and <br /> <br />such overhead as may be determined and included in the <br />operating budget of the Building Operating fund, <br />calculated by formula as more particularly described in <br />Schedule "C", attached hereto; said rent payable in equal <br />monthly installments, each in advance on the 1st day of <br />each month during the term commencing on the 1st day of <br />April, 1985. <br /> <br />3. THE LESSEE COVENANTS WITH THE LESSOR: <br /> <br />(a) <br /> <br />to pay the rent reserved at the time or times <br />hereinbefore mentioned for the payment thereof without <br />any deduction whatsoever; <br /> <br />(b) <br /> <br />not to transfer, assign or sublet the said premises <br />any part thereof without the written consent of the <br />Lessor, which may not be unreasonably withheld; <br /> <br />or <br /> <br />(c) <br /> <br />not to make any alterations or improvements in or about <br />the premises except with the written consent of the <br />Lessor. <br /> <br /> <br />
