A G R E E M E N T made this 19th day of December , 1985 . BETWEEN: Jack Shanks Janitorial hereinafter called the "Company" OF THE FIRST PART -and- THE COKPORATION OF THE CO[~qTY OF ESSFX hereinafter called the "Corporation" OF THE SECOND PART WHERFAS the Corporation has constructed an administrative building in the Town of F~qsex known as 360 Fairview Avenue, West, Essex, Ontario, NSM 1Y6. AND WHEREAS the Company submitted a tender for the ~aintenance and cleaning of the said building. NOW THEREFORE IN CONSIDERATION of the covenants, agreements and conditions contained herein, the parties hereto agree as follows: 1. The Corporation agrees to accept the tender of the CDmp~any dated the 5th day of December , 19 85 to provide for m~intenance of the building as described in the tender form attached hereto as Schedule "A" and which forms part of this agreement. The Company agrees with the Corporation that it will adhere to the specifications prepared by the Corporation in the performance of this agreement, which specifications are attached to the said tender form as attached hereto. 2. For the services and material to be provided by the Company herein, the Corporation shall pay to the company dl~ing the term of this agreement the sl~ of .~ 69,140.00 payable in equal payments of $1,440.42 on the 1st and 15th day of each month, the first of which payments shall commence on the 15th day of January, 19 86 3. This agreement is to continue in force from the 1st day of Jammry, 19 86 to and including the 31st day of December, 1987 , and the C~)mpany covenants and agrees dtnr-ing that period of time to perform to the Corporation's complete satisfaction the service or services required of it, as set forth in this agreement and in general perform the specifications attached hereto. 4. The Con,party shall employ orderly, competent and skillful personnel to dO the work herein and the Company's e~rployees shall he individually bonded and fully covered with The Worker's Compensation Reg~Llations.
