A G R E E M E N T made this 31st day of December, 1977. BETWEEN: THE AMBASSADOR BUILDING MAINTENANCE LIMITED hereinafter called the "Company" OF THE FIRST PART - and - THE CORPORATION OF THE COUNTY OF ESSEX hereinafter called the "Corporation" OF THE SECOND PART WHEREAS the Corporation has constructed an administration building at 360 Fairview Avenue West, in the Town of Essex. AND WHEREAS the Company submitted a tender for the maintenance and cleaning of said building. NOW THEREFORE, IN CONSIDERATION of the covenants, agreements and conditions contained herein, the parties hereto agree as follows: 1. The Corporation agrees to accept the tender of the Company dated the 12th day of December, 1977 to provide for maintenance of the building as described in the tender form attached hereto as Schedule "A" and which forms part of this Agreement. The Company agrees with the Cor- poration that it will adhere to the specifications prepared by the Cor- poration in the performance of this Agreement, which specifications are attached to the said tender form as attached hereto. 2. For the services and materials to be provided by the Company herein, the Corporation shall pay to the Company during the term of this Agreement the sum of $35,585.00 payable in equal payments of $1,482.71 on the 1st and 15th days of each month, the first of which payments shall commence on the 15th day of January, 1978. 3. This Agreement is to continue in force from the 1st day of January, 1978 to and including the 31st day of December, 1978, and the Company covenants and agrees during that period of time to perform to the Corporation's complete satisfaction the service or services required of it, as set forth in this Agreement and in general perform the specifications attached hereto. 4.
