October BETWEEN: THIS AGREEMENT made in triplicate this 5th , A. D. 1977. ~ay of THE CORPORATION OF THE COUNTY OF ESSEX, hereinafter called the CORPORATION OF THE FIRST PART; -and- D'AMORE CONSTRUCTION (WINDSOR) LIMITED, a company incorporated under the laws of the Province of Ontario, having its head office at 2501 Ouellette Avenue, Windsor, Ontario, hereinafter called the CONTRACTOR OF THE SECOND PART. WHEREAS the tender of the Contractor respecting the disposal of solid waste as hereinafter referred to and described was accepted and this contract authorized by by-law of the Council of the Corporation. THEREFORE THIS AGREEMENT WITNESSETH that in consideration of the premises and the covenants hereinafter contained, the Parties hereto agree as follows: 1. The Contractor hereby covenants and agrees to provide and supply at its expense, all and every kind of labour, machinery, equip- ment and materials for and to undertake and complete the sanitary landfill disposal of municipal solid waste for the period con~nencing January 1, 1978 and ending December 31, 1981 in strict accordance with its tender dated the 8th day of July, 1977 and the contract documents, including the special and general information to tenderers, general conditions prepared by the Essex County Engineering Department, all of which said documents are annexed hereto and form part of this agreement to the same extent as if fully embodied herein. 2. Payment for the said disposal shall be computed on the basis of quantities of municipal solid waste received and weighed at the Sanitary Landfill Site I as follows: (1) from January 1, 1978 to December 31, 1978 (inclusive) 25,000 tons at $3.90 per ton; (2) from January 1, 1979 to December 31, 1979 (inclusive) 25,000 tons at $4.10 per ton; (3) from January 1, 1980 to December 31, 1980 (inclusive) 25,000 tons at $4.40 per ton; (4) from January 1, 1981 to December 31, 1981 (inclusive) 25,000 tons at $4.60 per ton. 3. The Contractor further covenants and agrees to undertake and perform the said sanitary landfill disposal in a proper workmanship manner under the supervision and direction and to the complete satisfaction of the Corporation's Engineer.
